Vadilal Industries is restructuring its management and ownership following a family agreement among key promoters—Rajesh R. Gandhi, Janmajay V. Gandhi, and Devanshu L. Gandhi. The move aims to resolve longstanding disputes, separate ownership from management, and strengthen corporate governance.

As part of the agreement, promoter-owned entities will merge with Vadilal Industries, securing brand ownership. The board has approved key structural changes, including amendments to the Articles of Association, executive resignations, and new leadership appointments.

This restructuring follows legal battles over control, including an NCLT ruling in 2024 that mandated a division of family businesses. The changes are subject to shareholder and regulatory approvals.
